Terms of Service
These Terms of Service govern your access to and use of ActionDrivenNote, including our website, app, and related services, provided by ActionWorks Inc. (“we”, “us”, or “our”).
1. Acceptance of Terms
By accessing or using ActionDrivenNote, you agree to these Terms of Service. If you do not agree, do not use the service.
2. Eligibility and Accounts
You must provide accurate information when creating or using an account and are responsible for activity that occurs under your account. You are also responsible for maintaining the confidentiality of your login credentials.
3. Your Content
You retain ownership of the content you submit to ActionDrivenNote. You grant us a limited license to host, store, reproduce, process, and display that content only as needed to operate, maintain, and improve the service.
4. Acceptable Use
You may not use the service to break the law, infringe intellectual property rights, interfere with the service, attempt unauthorized access, distribute malware, or submit content that is fraudulent, abusive, or harmful to others.
5. Service Availability and Changes
We may modify, suspend, or discontinue any part of the service at any time. We do not guarantee that the service will always be available, uninterrupted, secure, or error-free.
6. Termination
We may suspend or terminate access to the service if we reasonably believe you have violated these terms, created security risk, or exposed us or others to legal liability. You may stop using the service at any time.
7. Disclaimers
To the extent permitted by law, the service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
8. Limitation of Liability
To the extent permitted by law, ActionDrivenNote and its operators will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, or business arising from or related to your use of the service.
9. Changes to These Terms
We may update these Terms of Service from time to time. If we make material changes, we may provide notice through the website, app, or other appropriate channels. Continued use of the service after the updated terms take effect means you accept them.
10. Plans and Monthly Billing
ActionDrivenNote offers Free and Pro plans. Free allows up to 100 items per account and attachments up to 5 MB per file. Pro includes unlimited items and attachments. See Pricing for the features included in each plan.
All items count toward the Free plan’s 100-item limit, including nested items, completed items, and items in the trash. Moving an item to the trash does not release its quota; permanently deleting it does. The 5 MB attachment limit applies to each individual file, not to the combined size of all attachments.
Pro costs $5 USD per month. The first payment is due when you subscribe, and your subscription automatically renews each month until cancelled. By confirming a Pro subscription, you authorize recurring monthly charges. Using the Free plan does not automatically enroll you in Pro or authorize a payment.
Pro is a digital service accessed through your account. Pro access begins once your subscription payment is successfully confirmed. If your payment succeeds but access is not enabled, email support@actiondrivennote.com for help.
11. Cancel Your Subscription
You can cancel automatic renewal in your account settings at any time before your next renewal. Your Pro access continues until the end of the billing period you have already paid for. After that, your account moves to Free and no further subscription renewal payments are due.
If you cannot access the cancellation option or need help, email support@actiondrivennote.com from the email address associated with your account. Simply stopping use of the service does not cancel your subscription.
12. Refunds and Billing Errors
Monthly subscription payments are generally non-refundable. We do not provide partial refunds for unused days or for cancelling during a billing period. This does not limit any refund rights required by applicable law.
If you believe you were charged twice, charged incorrectly, or are entitled to a refund under applicable law, contact support@actiondrivennote.com. Include your account email, the charge date, and the receipt or invoice reference so we can investigate. Do not send your full card number or security code.
Approved refunds are returned to the original payment method. The time it takes for the refund to appear depends on your payment provider and bank.
13. What Happens When Pro Ends
When your paid billing period ends after cancellation, your account returns to Free. We do not delete existing items or attachments because you downgrade. You can continue to view, edit, and delete your existing items.
Free allows up to 100 items per account. All items count, including nested items, completed items, and items in the trash. If you have 100 or more items, you cannot create new items. Permanently delete items until you are below 100, or subscribe to Pro, to create more. Moving items to the trash does not free up quota.
Attachments uploaded while you had Pro remain available to download, including files larger than 5 MB. New attachments uploaded on Free must be no larger than 5 MB per file.
